These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Paddery (“Paddery,” “we,” “us,” or “our”), governing your access to and use of our website, platform, and related services. These services include but are not limited to home maintenance plan coordination, contractor matching for home projects, and communication tools (collectively, the "Services"). By accessing or using any part of the Paddery platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

1. Acceptance of Terms

Your use of the Services signifies your full and unconditional acceptance of these Terms. If you do not agree to be bound by all provisions set forth herein, you may not access or use the Services. These Terms apply to all users of Paddery, including homeowners, contractors, and visitors. We may update or revise these Terms at any time. Continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.

2. Services Overview

Paddery provides concierge-style coordination of residential services by connecting homeowners with a network of independent, vetted professionals. Our platform facilitates recurring home maintenance plans, on-demand project matching, and digital communication between parties. Paddery does not perform services directly. All work is completed by third-party contractors who operate independently and are not employees or agents of Paddery.

3. User Responsibilities

By using Paddery, you agree to:

Provide accurate, current, and complete personal and property information;Promptly update any information that becomes outdated or inaccurate;Use the Services only for lawful residential purposes;Refrain from submitting fraudulent, abusive, or misleading requests;Avoid any conduct that may disrupt the functionality, integrity, or security of the platform; Comply with all applicable laws and regulations. Violation of these responsibilities may result in suspension or termination of your access to the Services.

4. Relationship with Contractors

Paddery is not a service provider and does not employ or oversee contractors. All contractors operate as independent businesses and are solely responsible for their licensing, insurance, pricing, scheduling, tools, materials, and the services they deliver. While we aim to connect homeowners with reliable professionals, we do not guarantee the quality, safety, or outcome of any service. Service engagements are formed directly between you and the contractor. Paddery is not a party to those agreements and bears no responsibility for the actions or omissions of any service provider.

5. Payment & Invoicing

Paddery does not charge homeowners for use of the platform or for service coordination unless otherwise stated in writing. All financial transactions for services are handled directly between the contractor and the homeowner, outside of Paddery’s control. We do not manage, collect, or guarantee payment terms for services rendered unless explicitly agreed upon in advance. In some cases, Paddery may facilitate the invoicing or collection of payments on behalf of contractors using secure third-party platforms such as Stripe. While we aim to ensure a smooth transaction experience, Paddery is not liable for any issues arising from third-party payment processors, including errors, delays, disputes, or failed transactions. All payment activity processed through the Paddery platform is managed under our parent company, The Graceful Company LLC , which owns and operates the Paddery brand. Payment terms, refund policies, and service guarantees (if applicable) are governed by the individual contractor’s policies unless otherwise specified in a signed agreement with Paddery. Contractors may be subject to additional terms relating to their participation in the platform, including service fees, subscription models, or lead charges, as defined in separate agreements.

6. Termination of Use

Paddery reserves the right, in its sole discretion, to terminate, suspend, or restrict your access to any part of the Services at any time, without notice, for any reason—including but not limited to violations of these Terms, suspected fraud, misuse of the platform, or behavior deemed harmful to our users, contractors, or reputation. Upon termination, all rights granted to you under these Terms will immediately cease, and Paddery shall not be liable for any resulting damages or losses.

7. Limitation of Liability

To the fullest extent permitted by law, Paddery disclaims all liability for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, data, reputation, or service access arising out of or related to your use of the Services. Our total cumulative liability to you for any claim will not exceed one hundred U.S. dollars ($100.00). Some jurisdictions do not allow certain limitations, so this provision may not apply in full to you.

8. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida. Any dispute or claim arising out of or related to these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Collier County, Florida. You consent to the personal jurisdiction and venue of those courts and waive any objections to such jurisdiction.
